Wat is Ondernemingswaardering ?
Een bedrijfswaardering is een algemeen proces om de economische waarde van een hele onderneming of bedrijfseenheid te bepalen. Bedrijfswaardering kan om verschillende redenen worden gebruikt om de reële waarde van een bedrijf te bepalen, waaronder verkoopwaarde, het vaststellen van het eigendom van een partner, belastingheffing en zelfs echtscheidingsprocedures. Eigenaren wenden zich vaak tot professionele bedrijfsevaluatoren voor een objectieve schatting van de waarde van het bedrijf.
Het onderwerp bedrijfswaardering wordt regelmatig besproken in corporate finance. Bedrijfswaardering wordt doorgaans uitgevoerd wanneer een bedrijf alle of een deel van zijn activiteiten wil verkopen of wil fuseren met of een ander bedrijf wil verwerven. De waardering van een bedrijf is het proces waarbij de huidige waarde van een bedrijf wordt bepaald, objectieve maatstaven worden gebruikt en alle aspecten van het bedrijf worden geëvalueerd.
Een bedrijfswaardering kan een analyse omvatten van het management van het bedrijf, zijn kapitaalstructuur, zijn toekomstige winstvooruitzichten of de marktwaarde van zijn activa. De tools die voor waardering worden gebruikt, kunnen variëren tussen beoordelaars, bedrijven en bedrijfstakken. Gangbare benaderingen van bedrijfswaardering zijn onder meer een beoordeling van financiële overzichten, discontering van kasstroommodellen en vergelijkbare bedrijfsvergelijkingen.
Waardering is ook belangrijk voor belastingaangifte. De Internal Revenue Service (IRS) vereist dat een bedrijf wordt gewaardeerd op basis van zijn reële marktwaarde. Sommige belastinggerelateerde gebeurtenissen, zoals de verkoop, aankoop of schenking van aandelen van een bedrijf, worden afhankelijk van de waardering belast.
